Legitimate Expectation Fails: SC Rejects Bank’s Claim to Convert Nazul Leasehold to Freehold

LEGITIMATE EXPECTATION FAILS: SC REJECTS BANK’S CLAIM TO CONVERT NAZUL LEASEHOLD TO FREEHOLD

The Allahabad High Court had directed the State to convert Nazul land at 19, Clive Road into freehold in favour of United Bank of India, invoking equity and legitimate expectation. The Supreme Court reversed it.

In United Bank of India vs State of U.P. & Ors, the Court held that a mortgagee-bank cannot invoke legitimate expectation against the State when the underlying mortgage is itself illegal. The judgment draws a clear line: administrative fairness cannot validate an act prohibited by statute. For banks, NBFCs and auction purchasers, this is a critical caution on dealing with government leasehold properties.

HIGH COURT’S ERROR: APPLYING EQUITY TO AN ILLEGAL MORTGAGE

The High Court relied on the maxim "actus curiae neminem gravabit" and the Bank’s position as a mortgagee-decree holder. It directed the State to issue demand notice and convert the land to freehold, citing delay and legal opinion.

The Supreme Court found this approach flawed. The Bank’s suit in Calcutta High Court was decreed behind the back of the State, which is the paramount title holder of Nazul land. The decree itself stated "this decree will not affect the interest of any of the parties other than the parties to the settlement".

Further, under Rule 16 of Nazul Rules, any sale, lease or renewal involving concession requires prior approval of State Government. The ABP Company never obtained this. The mortgage by deposit of title deeds was therefore in clear violation of lease covenants.

The Court held that you cannot build equity on an illegal foundation. The Bank, being a nationalized bank, was expected to verify title, non-encumbrance and State NOC before lending. No evidence was produced to show due diligence.

In practice, litigants assume a DRT decree gives indefeasible title over government land. United Bank says no. Government as lessor is a necessary party and its rights cannot be defeated in proceedings to which it was not a party.

LIMITS OF LEGITIMATE EXPECTATION IN PUBLIC LAND MATTERS

The Supreme Court extensively discussed the doctrine. Quoting Ram Parvesh Singh, it said legitimate expectation is "an expectation of a benefit that may ordinarily flow from a promise or established practice". It is procedural, not a substantive right.

The Court explained the limits. There is no expectation without legal relationship. The Bank had no dealings with the State. The lessee ABP did, but its rights expired in 1987. There is no expectation from illegal act. An expectation based on an invalid mortgage cannot be "reasonable, logical and valid". Public interest overrides. State policy on Nazul land, public ownership, and Government Grants Act override private commercial expectations. The Court in Sethi Auto also noted that legitimate expectation has "no role to play where State action is as a public policy". Conversion of Nazul land to freehold is a policy decision of the State, not an enforceable right of a third-party mortgagee. Thus, the writ of mandamus was wrongly issued. The proper remedy for the Bank was against the borrower ABP, not against the State.

CONCLUSION:

Where Government Grants Act, 1895 and Nazul Rules impose a sanction requirement, courts cannot compel the State to waive it through writ jurisdiction.

Writ courts cannot direct conversion of public land to benefit a private mortgagee. This ruling protects public assets and reminds lenders that security is only as good as the title behind it.
